SETTLEMENT AGREEMENT

This Settlement Agreement is made this day of 02 May 2024

BETWEEN

(1) PARTY_1_NAME, a company incorporated under the laws of  with its registered office at PARTY_1_ADDRESS_SINGLE_LINE (the "Owner"); and

(2) PARTY_2_NAME, a company organised and existed under the laws of  with its registered office at PARTY_2_ADDRESS_SINGLE_LINE (the "Infringer").

RECITALS

(A)   Owner is in the business of BUSINESS1.

(B)    Owner is the beneficial owner of copyright in original artistic works, namely, COPYRIGHTEDWORKS (the “Copyright Works”), which appear on the LOCATIONWORKS, particulars whereof are set out in Part A of Schedule 1.

(C)    By reference to the Copyright Works, the Owner has IDENTIFY. Consequently, the public has come to associate the COPYRIGHTEDWORKS with Owner.

(D)    Infringer is in the business of BUSINESS2.

(E)    INFRINGEMENT. Such reproduction, issuing or otherwise making available to the public or otherwise dealing with copies of the Copyright Works constitutes an infringement of the Copyright Works and/or amounts to passing off of COPYRIGHTEDWORKS not of those of Owner.

(F)    Owner has complained and threatened to sue Infringer for copyright infringement and/or passing off and to avoid litigation, Infringer has agreed to settle the complaints on the following terms and conditions.

IT IS AGREED as follows:

1. Infringer HEREBY

(a)    ACKNOWLEDGES that Owner is the proprietor of the copyright in the Copyright Works; and

(b)    ADMITS that the reproduction, issuing or otherwise making available to the public or dealing with copies of the Copyright Works by Infringer constitutes an infringement of the Copyright Works and/or amounts to passing off.
