THIS TERMINATION AGREEMENT is entered into on 28 April 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE ("Party 1")

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE ("Party 2")

(3)            PARTY_3_NAME whose principal place of business is at PARTY_3_ADDRESS_SINGLE_LINE ("Party 3", together with Party 1 and Party 2, each a party, together the "Parties")

Whereas

(A) The Parties entered into an AGREEMENT agreement dated DATE (the Agreement).

(B) The Parties have agreed to terminate the Agreement.

 

It is agreed

1. Termination

In consideration of the mutual undertakings contained in this Termination Agreement, and with effect from the date of this Termination Agreement (the Termination Date):

(a) the Parties hereby agree to terminate the Agreement and any amendments to such Agreement:

(b) the Parties hereby releases and discharges each other from:

1. all obligations under the Agreement, including without limitation all claims and demands in relation to them; and
2. each of its accrued liabilities and obligations already in existence under the Agreement as at the Termination Date, including without limitation all claims and demands in relation to them;
