THIS EXIT AGREEMENT is entered into on 28 April 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE ("Leaver")

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE ("Continuing Party 1")

(3)            PARTY_3_NAME whose principal place of business is at PARTY_3_ADDRESS_SINGLE_LINE ("Continuing Party 2")

(4)            PARTY_4_NAME whose principal place of business is at PARTY_4_ADDRESS_SINGLE_LINE ("Continuing Party 3", together with Continuing Party 1 and Continuing Party 2, together the "Continuing Parties")

Whereas

(A) Leaver and Continuing Parties entered into an AGREEMENT agreement dated DATE (the Agreement).

(B) Leaver has agreed to exit from the Agreement for the consideration of the Continuing Parties releasing and discharging Leaver from the rights and obligations of the Agreement.

It is agreed

1. Exit

In consideration of the mutual undertakings contained in this Exit Agreement, and with effect from the date of this Exit Agreement (the Exit Date):

(a) Leaver hereby give up all Leaver's Rights already in existence under the Agreement as at the Exit Date, including without limitation all claims and demands in relation to them;

(b) Continuing Parties hereby releases and discharges Leaver from the Leaver's Obligations, including without limitation all claims and demands in relation to them;
