THIS DEED OF ASSIGNMENT is made on 29 April 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE as assignor and chargor (the "Assignor")

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE as assignee and chargee and as security trustee for the Secured Parties (the "Security Trustee")

Whereas

(A) The Assignor, the Lenders and the Security Trustee has entered into the Facility Agreement.

(B) As security for the facility under the Facility Agreement, the Assignor has agreed to assign the Assigned Property to the Security Trustee for the consideration and upon the terms set out below.

This Deed Witnesses as follows:

1. Interpretation

Definitions

1.1 In this Deed: (a) words and expressions defined in the Facility Agreement shall bear the same respective meanings; and (b) the following words and expressions have the meanings respectively shown opposite below, in each case unless the context otherwise requires:

Account means the account in the name of Security Trustee with the following details:

ACCOUNT

Agreements means the agreements or arrangements constituting the Assigned Property specified in the definition of Assigned Property;

Assigned Property means all of the right, title and interest, present and future, of the Assignor in, to and under:

(a) AGREEMENTS

(b) all proceeds in respect of any of the foregoing, together with:
