THIS MORTGAGE OF SECURITIES is made on 29 April 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE as chargor and assignor (the "Mortgagor")

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE as chargee and assignee (the "Lender")

Whereas

This Mortgage of Securities is given by the Mortgagor to the Lender as security for all moneys and liabilities that may come due, owing or payable, in any currency, to the Lender by the Mortgagor.

This Deed Witnesses as follows:

1. Interpretation

Definitions

1.1 In this Deed: (a) references to the Mortgagor, the Agent, the Managers or the Banks include references to any person for the time being deriving title under each of them respectively;  and (b) the following words and expressions have the meanings respectively shown opposite below, in each case unless the context otherwise requires:

Original Securities means the securities listed in the Schedule which are all registered in the name of the Mortgagor;

Sale Event means any of the events mentioned in clause 8.1;

Secured Amounts means the moneys and liabilities which the Mortgagor covenants in clause 2 to pay or discharge, and references to the Secured Amounts include (save in clauses 4.3 and 10.1) references to any part of them;
