LETTER OF INTENT TO FORM A JOINT VENTURE

THIS LETTER OF INTENT is made on 21 December 2024

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE ("Party 2", together with Party 1, the "Parties")

Whereas

On the basis of mutual discussions, Party 1 and Party 2 intend to negotiate and establish an equity joint venture company with limited liability (hereinafter referred to as the "JVC"). The purpose of this letter of intent is to set forth the current understanding of the parties in respect of the proposed JVC so as to provide the basis for the preparation of a feasibility study report, a joint venture contract and articles of association.

1. Form and Name of the JVC

The JVC shall be a limited liability company formed in accordance with the laws of COUNTRY. The JVC shall be named "JVC".

2. Purpose of the JVC

The purpose of the JVC will be PURPOSE. The JVC will engage in the sourcing, manufacture, distribution and sale of and related raw materials, and other activities agreed by the parties.
