Dear COUNTERPARTY,

 

Re: Violation of non compete agreement

We refer to the AGREEMENT agreement between us dated CONTRACTDATE. Under clause CLAUSE of the AGREEMENT, you have agreed not to directly or indirectly solicit, engage in, contact any employee of, enter into contractual relationships, or provide services to any of our customers or prospective customers, as well as not to compete with or work with our competitors on any product or service marketed or planned for marketing by us. 

It has come to our attention that you are

☐  soliciting businesses from our customers

☐  soliciting our employees

☐  competing with us on our existing products and services

(the "Breach"). Accordingly, you are in breach and in direct violation of the AGREEMENT. Additionally, as a result of your Breach, we have suffered the following damages:

DAMAGES

Accordingly, we demand you to immediately cease and remedy the Breach and comply with your non-compete / non-solicitation commitments under clause CLAUSE of the Agreement. You are also to provide us with a list of all our employees / competitors / customers / potential customers with whom you have been in contact with to allow us to understand the scope of the Breach.
