Dear COUNTERPARTY,

 

Re: Breach of AGREEMENT – Cease and Desist

We refer to the AGREEMENT agreement between us dated CONTRACTDATE. Under clause CLAUSE of the AGREEMENT, you have agreed to keep the Confidential Information as defined in the agreement confidential and not to disclose such Confidential Information to any third party. 

It has come to our attention that you are

☐  disclosure of confidential information to third party

☐  breach of confidential undertaking

☐  failure to return / destroy confidential information

(the "Breach"). Accordingly, you are in breach and in direct violation of the AGREEMENT. Additionally, as a result of your Breach, we have suffered the following damages:

DAMAGES

Accordingly, we demand you to immediately cease and remedy the Breach and comply with your confidentiality obligations under clause CLAUSE of the Agreement. All copies of documents (including in electronic form) that contain the Confidential Information shall be delivered to us or be destroyed with our permission. You are also to provide us with a list of all parties with whom you have disclosed the Confidential Information to allow us to understand the scope of the Breach.
