TERMS AND CONDITIONS OF ORDER

1. The Company will not be liable for orders unless they are issued on its printed order forms duly signed on behalf of the Company.

2. Unless this order has been accepted within ACCEPT days from the date thereof it shall not thereafter be open for acceptance without our express written confirmation in that respect. Any alteration of or extension to this order must be the subject of a confirmation in writing from us.

3. Delivery of the goods must be completed within the time specified in our order and all work required by our order must be carried out in accordance with our instructions and must conform in all particulars to the requirements of this order and unless otherwise specified to legal and business standards where may exist at the time of order. If this order is not completed to our requirements or in accordance with these Conditions or within the time specified we reserve the right to cancel this order and to purchase the goods elsewhere, charging you with any extra expense without prejudice, however, to any other claim we may have by reason of such non-completion.

4. An advice note, on which the order number is clearly stated, must be sent to us the same day as the goods, and a delivery note must accompany each delivery. Failure to send such notes will delay the payment of invoices.

5. Invoices stating the order number must be rendered immediately when the goods are dispatched, and in any case, air invoices must arrive by the INVOICEth day of the month following the month of delivery. Otherwise, they will be carried forward to the following month's account and payment will be delayed one month without forfeiture of the discount.

6. The Statement of Account must be rendered by the ACCOUNTth day of the month following delivery, or in the case of prompt payments, such periods as may be arranged. Failure to comply with this condition will delay payment without forfeiture of the discount.

7. All goods must be packed in such a manner as to be able to reach us in good condition, carriage paid. Packing cases, boxes, packages, and drums will not, except under special arrangement, be paid for, but if marked as returnable they will be dispatched to you carriage paid.

8. Payment will be made without prejudice to our rights if the goods you supply to this order prove to be unsatisfactory or not in accordance with our specification or approved sample.
