THIS AGENCY AGREEMENT is entered into on 03 May 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the Agent)

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the Principal)

Whereas

The Principal desires to appoint the Agent to be its representative to perform the Services defined in this Agreement on behalf of the Principal upon the terms set out in this agreement.

IT IS AGREED as follows:

Definitions and Interpretation

1.1 Clause and other headings are for convenience only and do not affect the construction of this Agreement.

1.2 Any reference to a statute, order or regulation, unless the context otherwise requires, includes references to such statute, order or regulation as amended, replaced, supplemented or re-enacted from time to time.

1.3 This Agency Agreement is effective from the DATE and continues until terminated in accordance with the terms of this Agreement.

Agency Relationship

2.1 The Principal hereby irrevocably appoints and instructs the Agent as its agent, and the Agent agrees to perform for the Principal, the services set forth below (the “Services”):

SERVICES

2.2 Any Service outside of the scope as defined above will require a new Agreement for other services agreed to by the Parties.

2.3 The Agent’s authority to bind the Principal is limited to the Services detailed in this Agreement. The Agent is not authorized to bind the Principal in any way whatsoever beyond the scope of the Services defined herein.
