THIS CONFIDENTIALITY AGREEMENT is entered into on 29 April 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE  (Seller)

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE  (Buyer)

PROPERTY

We are writing in connection with a proposal (Proposed Transaction) to [sell / lease] to you land owned by us at PROPERTY (Property). In consideration of us supplying you with any information and documentation relating to the Property and the Proposed Transaction, you agree to be bound by terms and conditions contained within this agreement.

1.              Confidentiality of discussions, documents and information

1.1           Confidential Information means all classified, private, or confidential information,  whether explicitly labelled or not, however recorded or preserved, disclosed by us or any of our Representatives to you and your Representatives whether before or after the date of this letter in connection with the Proposed Transaction, concerning:

(a)        the existence, terms and conditions of this letter, and the fact that any negotiations and discussions relating to the Proposed Transaction are taking place between you and us and our Representatives; and

(b)        any data or information that would be regarded as confidential in the view of a reasonable business person relating to the Property; and

(c)        any information that would be regarded as confidential in the view of a reasonable business person relating to the business, clients, suppliers, plans, customers, or affairs, intentions, or any market opportunities of us, or of any member of the group of companies to which we are affiliated to or belong to; and
