Subject: Undertakings

1. In the view of your refraining from bringing legal proceedings against us, PARTY_1_NAME, for the acts of passing off, as outlined in the letter dated LETTERDATE from PARTY_2_NAME, we hereby undertake, whether acting by ourselves, or through our employees, agents, officers, directors or otherwise howsoever so the following:

 

a) Now or anytime in the future, not to sell, offer to sell, import, exhibit, advertise, distribute or otherwise deal  in any way that GOODS (‘the Goods’) under the trademark “[MARK]” or any other mark that may cause confusion or constitute the act of ‘passing off',  or any other activity that is associated with or likely to injure the reputation or goodwill associated with you:

 

2. Now or any time in the future, not to pass off ourselves or any business or service of our own or with which we are connected or in any way being associated with you or your business.

3. To deliver the following to you within seven days of the date of this letter:

(a) all goods in our possession, control or custody; and
