THIS NON DISCLOSURE AGREEMENT is entered into on 28 April 2024
Between
(1) PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the Discloser)
(2) PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the Disclosee)
Whereas
The Disclosee have expressed an interest in TRANSACTION (the "Transaction"). The Discloser are prepared to make available to the Disclosee certain confidential information about the Transaction. As agent for PRINCIPAL ("Principal"), the Discloser is prepared to make available to you certain confidential information about the Information. This Agreement relates to information at any time and from time to time supplied by the Discloser or by the Principal or by any of its Connected Persons orally, in writing or in any other form to the Disclosee or its Representatives in connection with the Transaction (the "Information").
It is agreed as follows:
1. Interpretation
1.1 In this Agreement unless the context otherwise requires the following expressions shall have the following meanings:
Connected Persons means, to the extent that they are involved in the Transaction, (a) the Discloser and each of their and their respective officers, employees, advisers, agents and representatives; (b) the Principal, each of the Principal's other group undertakings and each of their respective officers, employees and other advisers, agents and representatives; and (b) officers, employees and partners of any such adviser, agent or representative or of their respective group undertakings.
Group means, in relation to either party, companies which are holding Companies or Subsidiaries of it or of any such holding Company;
Information means any and all information which is now or at any time after the date of this Agreement in the possession of the Discloser and is disclosed to the Disclosee pursuant to this Agreement, including without limitation any information or analysis derived from that Information;
