THIS AGREEMENT is entered into on 09 May 2024
Between
(1) PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the "Administrator")
(2) PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the "Client") (along with the Servicer, each a "Party", together the "Parties")
Whereas
(A) Client has requested Administrator to undertake the administration of Client; and
(B) Administrator is willing to assist Client by acting as Administrator and providing facilities and services to Client, subject to and in accordance with the provisions hereinafter set forth.
IT IS AGREED as follows:
In this Agreement the words set out below shall bear the respective meanings attributed to them unless the subject or context requires otherwise.
“Auditors” means the auditors from time to time of Client as appointed by the Directors and/or Shareholders.
“Companies Law” means the applicable company law and every statutory modification or re-enactment thereof for the time being in force.
“Directors” means the directors from time to time of Client appointed in accordance with the Company’s Memorandum and Articles of Association.
