This Commissioning Agreement for NFT Artwork ("Agreement") is entered into on 19 May 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the "Artist")

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the "Minter")(along with the Artist, each a "Party", together the "Parties")

Whereas

(1) The Artist is in the business of creating and supplying artwork; 

(2) The Minter wishes to commission the Artist to create and supply such artwork for the Minter

(3) The Artist understands and acknowledges that such artwork will be used by the Minter for the purposes of creating and selling a Digitized Token - NFT. 

It is agreed as follows:

1. Interpretation

1.1 Definitions

Agreement means any agreement made subject to the terms and conditions below;

Services mean the Artist creating and supplying the Work to the Minter in the manner set out in this Agreement.

"NFT" means Non-fungible Token, a unit of data stored on a digital ledger, called a blockchain, that certifies a digital asset to be unique and therefore not interchangeable

Work means the artwork to be created by the Artist, pursuant to the Minter's specifications, as described in Schedule 1.

1.2 In this Agreement, unless the context otherwise requires:

(a) references to persons include individuals, bodies corporate (wherever incorporated), unincorporated associations and partnerships;
