Re: Letter of Comfort from Parent company for the Subsidiary company 

We confirm that we:

1. are aware of all facilities which are made or to be made available to our subsidiary, SUBSIDIARY_NAME (the “Subsidiary”) by the Lender, from time to time (the “Facilities”);
2. will not permit the Subsidiary to enter into liquidation (whether voluntary or compulsory) or enter into any arrangement with its creditors without its liability to the Lender being completely discharged;
3. will do whatever is necessary in order to ensure the payment by the Subsidiary of all indebtedness arising under the Facilities or any new or additional facilities which may be made available after the date of this letter by the Lender to the Subsidiary; and
