Dear Sirs:

I/We the undersigned subscriber (the "Subscriber") acknowledge having received, reviewed and understood the term sheet, as the same may be amended, supplemented or replaced from time to time, (the "Term Sheet") for the offering of Participating Shares (the “Participating Shares” or the “Shares”) of PARTY_2_NAME (the "Company") and hereby agree to invest the amount set forth below (the "Amount of Subscription") in the Company and subscribe for as many Shares of the class currently being offered as may be purchased on the terms of the Term Sheet and subject to the provisions of the Memorandum and Articles of Association of the Company (collectively, the “Articles”). 

This Agreement shall incorporate by reference the Term Sheet and be subject to the provisions of the Articles.  In the event of a conflict between the terms of this Agreement, the Term Sheet and the Articles, the order of priority of those documents shall be first the Articles, second this Agreement and third the Term Sheet.
