THIS SERVICE AGREEMENT is entered into on 08 May 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the Provider)

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the Customer)

Whereas

A. The Customer is the subsidiary of the Provider

B. The Customer desires to hire and retain the Provider to perform certain services as described in this Agreement and the Provider desires to perform such services for the consideration set forth herein.

It is agreed as follows:

1. Interpretation

Definitions

1.1 The following terms shall, unless the context otherwise requires, have the following respective meanings:

Business Day means any day other than Saturday or Sunday or a Bank or Public Holiday in JURISDICTION_COUNTRY;

Commencement Date means COMMENCEMENT_DATE;

Force Majeure means in relation to either party, any circumstances beyond the reasonable control of that party (including, without limitation, any strike, lockout or other form of industrial action);

the Location means LOCATION;

Services means the services more particularly set out in Schedule 1;
