SALES REPRESENTATIVE COMMISSION AGREEMENT
This Sales Representative Commission Agreement (the “Agreement”) is made as of the 21 November 2024 between:
(1) PARTY_1_NAME (the “Company”), a company with Company Number PARTY_1_IDENTITY_NO) and registered address at PARTY_1_ADDRESS_SINGLE_LINE; and
(2) PARTY_2_NAME (the “Salesperson”), holder of Identification Number PARTY_2_IDENTITY_NO with domiciled address at PARTY_2_ADDRESS_SINGLE_LINE
From the date of this Agreement, the Company engages the Salesperson, and the Salesperson agrees to act as a sales representative for the Company unless this Agreement shall be terminated in the manner hereinafter provided.
1. Sales Scope
The Salesperson shall sell the following products for the Company ("Product(s)"):

The Salesperson understands and agrees that they will abide by the below scope and parameters while selling the Product(s).
(a) The Company agrees to deliver any promotional items used to acquire sales. Should the Salesperson desire to use their promotional materials; they must first obtain written approval from the Company.
(b) The price of the above-referenced products shall be determined and set by the Company.
(c) The Company shall furnish a Sales Agreement template for use by the Salesperson engaged in all sales of the Product(s).
2. Remuneration of Salesperson
(a) The Company agrees to pay the Salesperson as compensation for his services in respect of each Successful Sale made, a commission of COMMISSION_PERCENTAGE per cent. of the Contract Price under each Sale Agreement, to be payable from (and including) the First Sale Date to (and excluding) the date falling COMMISSION_MONTHS months after the First Sale Date.
For the avoidance of doubt, no commission shall be payable by the Company to the Salesperson in respect of any Successful Sale on or after the date falling COMMISSION_MONTHS months after the First Sale Date of that Successful Sale.
“Contract Price” is the amount (i) stipulated in a Sale Agreement as the contract price payable to the Company from the relevant Client; and (ii) which has been paid in full to the Company from that client.
