This Property Broker Commission Agreement (the “Agreement”) is made as of the 23 November 2024 between:
(1) PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the "Owner")
(2) PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the "Agent")
Whereas
A. Owner owns PROPERTY (“Property”).
B. Owner desires to engage Agent as its sole and exclusive sale agent for the Property.
C. Agent desires to accept such employment and is engaged in the business of leasing and marketing properties.
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
ARTICLE 1. TERM; TERMINATION
1.1 Initial Term. Agent's duties and responsibilities under this Agreement shall begin on 23 November 2024 and shall end on ENDDATE, unless sooner terminated as provided herein.
1.2 Termination. Either party may, at its option and in its sole and absolute discretion, elect to terminate this Agreement upon thirty (30) days prior written notice to the other party.
1.3 Pending Matters. In addition to all amounts payable to Agent during the term of this Agreement, Owner shall pay Agent commissions to be calculated and paid as provided in Schedule A, with respect to any new leases, lease expansions, relocations, renewals, extensions, and other transactions executed and delivered by Owner and the applicable tenant (for purposes of this Agreement “tenant” means tenant or buyer) within nine six (6) months following the expiration or earlier termination of this Agreement, if (a) prior to such expiration or termination (i) Agent has engaged in negotiations with the prospective tenant (or its agent), regarding the possibility of a lease or other transaction, or (ii) the prospective tenant has been introduced by Agent and toured the Property; and (b) within six (6) months immediately following the expiration or termination of this agreement, a lease or other agreement between Owner and the tenant is executed. Agent shall deliver a written list of all such prospective tenants to Owner no later than ten (10) business days after the expiration or termination of this Agreement.
