THIS SETTLEMENT AGREEMENT is made on the day of .

BETWEEN

(1)                of  ("Client") and

(2)                of  ("Provider")

 

WHEREAS 

(A) The Provider was providing certain Services to the Client pursuant to the agreement dated DATE (the "Service"):

(B)  The Provider and the Client have entered into a dispute regarding the performance of the Service ("Dispute")

(B)       The parties are desirous of settling the Dispute amicably subject to the following terms and conditions.

 

THE PARTIES HAVE AGREED AS FOLLOWS:-

1. Provider's Undertakings: In consideration of the Client's release of claims as stated below, the Provider agrees to perform the following actions within 10 working days from the date of this Agreement

2. Release and Waiver: In consideration of the Provider's agreement to address the Dispute and perfming the undertakings as mentioned above, the Client hereby releases and forever discharges the Provider, its employees, agents, representatives, and affiliates from any and all claims, demands, actions, liabilities, costs, and expenses arising out of or in connection with the aforementioned issue, whether known or unknown, suspected or unsuspected, disclosed or undisclosed.

3. No Admission of Liability: The Parties agree that this Agreement does not constitute an admission of liability by the Provider. It is entered into solely for the purpose of resolving the matter amicably and avoiding any potential litigation.

4. Release ofClaims: The Client confirms for and on behalf of itself and any of the associates of the Client, that they have no claim whatsoever against the Provider and agrees hereby to release and discharge the Provider from all past, present and existing liabilities.
