THIS REFERRAL FEE AGREEMENT is entered into on 10 May 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the "Referee")

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the "Referrer")

Whereas

A. Referee is in the business of providing REFEREE_BUSINESS

B. Referrer is in the business of providing BUSINESS_DESCRIPTION

C. Referrer and Referee wish to enter into a business relationship whereby Referrer will introduce new clients to Referee.

Referrer and Referee wish to enter into a business relationship whereby the Referrer will introduce new clients to Referee.

IT IS HEREBY AGREED AS FOLLOWS:

 1          Definitions

1.1       In this Agreement, unless otherwise specified, the following expressions have the following meanings:

“Confidential Information” means any information provided in oral or written form, including but not limited to information relating to business, operational, technical processes, intellectual property, know-how, financial, personnel, legal, technical commercial matters, client and service provider relationships, as well as records and copies of whatever nature containing or disclosing such information; 

“Disbursements” means the annual disbursements of telephone charges, office charges, document printing, postage and courier, etc., which may be included in the annual administration service items as described in a fee illustration signed and agreed by a client;

“Referral” means introduction of a client by the Referrer to the Referee with the intention that the client will obtain services from the Referee;

 “Third-Party Fees” means any costs that may be incurred by  to pay other parties out of the fees collected from a client for the provision of certain services, including but not limited to, any annual renewal license fees, government fees (where applicable) and any other fees arising from certain professional services rendered to the client in connection with the trust;
