THIS SERVICE AGREEMENT ("the Agreement") is entered into on 09 May 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the Service provider)

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the Client)

Whereas

(A) The Client seeks professional public relations services to enhance its brand image and reputation;

(B) The Service Provider possesses expertise in public relations, media management, event planning, and related services; and

(C) The parties wish to define the terms under which the Service Provider will provide public relations services to the Client.

It is agreed as follows:

1. Interpretation

Definitions

Service means the public relation services and deliverables more particularly set out in Schedule 1;

Fees means the fees as calculated as per the fee schedule more particularly set out in Schedule 2;

2. Service provider's obligations

2.1 The Service provider shall with due care, skill and diligence and in a good and professional manner provide the Services under this Agreement. 

2.2 The Service provider shall also comply with any instructions or variations issued by the Client (or any authorised representative of the Client) in relation to the Services. If instructions are given orally, they shall be confirmed in writing by the Client within the following 7 days. 

2.3 The Service provider shall at all times appoint a competent person in charge and any instructions given to him by the Client shall be deemed to have been issued to the Service provider.
