This Testimonial Release Form (“Release”) is made by and between FULLNAME located at ADDRESS (“Releasor”) and ACCOUNT_JOB_COMPANY; ?> located at ACCOUNT_JOB_ADDRESS_SINGLE_LINE (“Releasee”) and is made effective on 10 May 2024.
The Releasor hereby grants and authorises the Releasee the right to and license to use, publication, distribution, reproduction, editing, posting the Testimonial defined hereinbelow by the Releasee on social media, website, sales and marketing material throughout the world and in perpetuity for any purpose as determined by the Releasor in its absolute discretion (the “Rights”). In addition, Releasor permits Releasee to use Releasor’s name, image, likeness, and biographical data in connection with the use of the Testimonial.
The Releasor acknowledges that the Releasee may choose where and how to use the Testimonial, but the Testimonial will not be used in connection with content that is unlawful, defamatory, obscene, or offensive.
The Testimonial released hereby by the Releasor is set out below (the “Testimonial”):
TESTIMONIAL
Releasor represents and warrants that: (a) Releasor is the sole owner of the Testimonial and is free to enter into this Testimonial Release Form and to grant the Rights in this Agreement without the approval of any other person or entity, and (b) the Testimonial does not infringe on or violate any law or infringe on any third party’s rights, including, without limitation, any copyrights or rights of privacy or publicity. Releasor indemnifies Releasee for any breach or alleged breach of Releasor’s representations and warranties.
If specified, Releasor will receive compensation as agreed upon for the use of the Testimonial. Otherwise, the Releasor acknowledge that no compensation is owed to the Releasor by the Releasee.
The Releasor agrees to keep the terms of this agreement confidential and not to disclose the terms of this Agreement to any third party.
The Releasor, hereby agrees, to hold harmless, release and discharge rights to all claims, demands, and causes to action which the Releasor, the Releasor's heirs, representatives, executors, administrators, or any other persons acting on behalf of the Releasor's estate have or may have by reason of this authorisation.
I agree that if there is a legal issue between Me and the Creator concerning this Release, the Appearance, and/or the Content, that I will resolve it by binding arbitration filed in JURISDICTION_STATEand this Release will be governed by and interpreted in accordance with the laws of the JURISDICTION_STATE without regard to conflict of laws principles. The prevailing party in the arbitration will be entitled to costs and legal fees.
