This Memorandum of Understanding ("MoU") is entered into on 12 May 2024

Between

(1)            PARTY_1_NAME, a non profit company, whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE ("Party 1")

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE ("Party 2")

Whereas

A. Party 1 is a non-profit organization engaged in providing MISSION_NGO

B. Party 2 is in the business of SERVICE_DESCRIPTION

C. Party 1 and Party 2 agreed to collaborate and implement the Project as set out in this MoU.

NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1.  Introduction

1.1 The MOU is a statement of present intent between the parties to work in partnership to implement the Project. It is not considered to be a binding framework and does not create any legal obligations between the parties.

1.2 The purpose of this MOU is to define the role of the parties, including any specific role accorded to a named party; the procedures by which the parties will work together to complete the Project.

2. The Project
