THIS SERVICE AGREEMENT is entered into on 09 May 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the Manager)

(2)            PARTY_2_NAME whose mailing address / principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the Company)

Whereas

(1) The Company is in the business of BUSINESS_DESCRIPTION (the "Business")

(2) The Company desires to engage the Manager to profitably and successfully operate the Business, and the Manager agrees to provide such services, subject to the terms and conditions set forth herein.

 

It is agreed as follows:

1. Interpretation

1.1 Definitions

Agreement means any agreement made subject to the terms and conditions below;

Services mean certain business management services including expertise in the operation and management of the Business as set forth in this Agreement

 

1.2 In this Agreement, unless the context otherwise requires:

(a) references to persons include individuals, bodies corporate (wherever incorporated), unincorporated associations and partnerships;

(b) the headings are inserted for convenience only and do not affect the construction of the Agreement;
