THIS OPERATING AGREEMENT  is entered into on 23 November 2024

Between

(1)             PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (M1)

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (M2), (each, a “Member” and collectively, the “Members”)

1. The Partnership

1.1  On DATE, M1 and M2 being the Members of LLC_NAME organized a Limited Liability Company pursuant to the laws of the state of STATE

1.2 The name of the Company is ACCOUNT_JOB_COMPANY

1.3 The principal place of business of the Company is ACCOUNT_ADDRESS_SINGLE_LINE. 

1.4  The Company’s registered office shall be at the office of its registered agent at REGISTERED_OFFICE, and the name of its initial registered agent at the address shall be REGISTERED_AGENT

1.5 The term of the Company shall be unlimited from the date of filing of Certificate of Formation with the Secretary of State of the State of JURISDICTION_STATE unless the Company is earlier dissolved in accordance with either the provisions of this Operating Agreement or the laws of the state of STATE

1.6 The business of the Company shall be: (a) To exercise all other powers necessary to or reasonably connected with the Company’s business that may be legally exercised by limited liability companies under the applicable laws. (b) To engage in all activities necessary, customary, convenient, or incident to the foregoing. (c) The company’s business shall not be changed without the approval of Members

2. Contribution of Member’s Capital

2.1 The Members  shall respectively make initial contributions to the capital as follows:
