THIS ASSIGNMENT of INTEREST is entered into on 22 October 2024

Between

(1)            PARTY_1_NAME with an address at PARTY_1_ADDRESS_SINGLE_LINE (the "Assignor")

(2)            PARTY_2_NAME with an address at PARTY_2_ADDRESS_SINGLE_LINE (the "Assignee")

Whereas

(A) The Assignor is the owner of OWNERSHIP_PERCENTAGE % membership in COMPANY_NAME (“Membership Interest”), a company whose principal place of business is at ADDRESS (“Company”);

(B) The Assignor desires to transfer its Membership Interest in the Company to the Assignee in accordance with the terms and conditions set forth in this agreement.

Now it is agreed as follows:

1. Assignment of Membership Interest

1.1 The Assignor hereby irrevocably and unconditionally assigns,  transfers and conveys unto the Assignee ASSIGNED_INTEREST % of the Assignor’s right, title and interest in and to the Membership Interest (“Assigned Interest”)

1.2 The Assignee understands and agrees that this assignment is subject to the terms and conditions set out in the Operating Agreement of the Company.

2. Effective Date

2.1 This assignment takes effect on 22 October 2024.

3. Consideration

3.1 The Assignor assigns, transfers, and conveys the Assigned Interest to the Assignee for the sum of CURRENCY CONSIDERATION, the receipt of which the Assignor hereby acknowledges.

4. Warranties of the Assignor
