Re: Notice to Attorney General of the Proposed Asset Transfer and Voluntary Dissolution of the Company

 

Dear Attorney General,

 

On behalf of PARTY_1_NAME (the “Company”), a nonprofit public benefit corporation, we are writing to provide advance notice to the Attorney General in accordance with the relevant laws governing the requirement to notice the Attorney General in regarding the proposed transfer of all the Company’s assets to PARTY_2_NAME (“PREFERRED_NAME”), a nonprofit public benefit corporation (“Asset Transfer”).

 

We are also writing on behalf of the Company to request, in accordance with the relevant laws governing the dissolution, that the Attorney General issues a written confirmation that the Company has no assets in connection with the proposed voluntary dissolution of the Company (“Dissolution”) after the Asset Transfer.
