THIS TRUSTEE CONFIDENTIALITY AGREEMENT is entered into on 06 February 2025

Between

(1)            PARTY_1_NAME  incorporated and registered in England and Wales with company number ACCOUNT_COMPANY_REG_NO whose registered office is at PARTY_1_ADDRESS_SINGLE_LINE ("Company")

(2)            PARTY_2_NAME , at PARTY_2_ADDRESS_SINGLE_LINE ("Trustees")

Whereas

A） The [NAME OF SCHEME] is governed by the trust deed and rules dated 06 February 2025, made between [Name And Address of Principal Employer] and the trustees of the Scheme at the time. 

B) The [Company] has agreed to provide the Trustees with certain information [from time to time] for the purposes of the Scheme. The Company wants to ensure that the Trustees keep the information confidential and use it only for the purpose(s) for which it has disclosed it. 

It is agreed as follows:

1. Interpretation

In this Agreement unless the context otherwise requires the following definitions and rules of interpretation shall apply:

1.1 Definitions:

Confidential Information: has the meaning given in clause 2.2.

Copies: copies of Confidential Information including any document, electronic file, note, extract, analysis or any other way of representing or recording and recalling information which contains, reflects or is derived from Confidential Information.

Group: in relation to the Company, the Company, any company of which it is a Subsidiary (its holding company) and any other Subsidiaries of any such holding company. Unless the context otherwise requires, the application of the definition of Group to any company at any time shall apply to the Company as it is at that time.
