INDEPENDENT CONTRACTOR AGREEMENT FOR PROGRAMMING SERVICES

This Independent Contractor Agreement for Programming Services (hereinafter referred to as the “Agreement”) is made and entered into on this 11 February 2025, by and between:

PARTY_1_NAME, whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (hereinafter referred to as the "Contractor"), and

PARTY_2_NAME, whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (hereinafter referred to as the "Client").

The Client and the Contractor may collectively be referred to as the "Parties" and individually as a "Party."

WHEREAS, The parties agree that the Services shall be carried out in accordance with and subject to this Agreement hereto.

It is agreed as follows:

1. SERVICES TO BE PROVIDED

1.1 The Contractor shall provide the following Services to the Company and any ancillary Services incidental thereto (together, the “Services”).

1.2 The Parties may agree to additional services to be provided by the Contractor to the Company by agreement in writing.

1.3 The Contractor agrees to provide programming and software development services to the Client, including, but not limited to, coding, software design, debugging, testing, documentation, maintenance, and updates as necessary to complete the project.

1.4 The Contractor shall perform the Services as an independent contractor on a non-exclusive basis, and, unless stated explicitly, nothing contained herein shall be deemed to create any partnership, joint venture, or relationship of principal and agent between the Parties hereto or any of the Company’s affiliates or subsidiaries.

1.5 The Contractor shall perform the Services with the degree of skill, care and diligence normally exercised by members of the Contractor's profession performing similar services in similar circumstances. The Contractor does not warrant or guarantee any particular outcome or result from the Services.

1.6 The Contractor shall also comply with any reasonable instructions or variations issued by the Company (or any authorised representative of the Company) in relation to the Services.
