THIS MEMORANDUM OF UNDERSTANDING is entered into on 15 February 2026

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE ("Buyer")

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE ("Seller")

Whereas

The Parties wish to set out in this Memorandum ("MOU") the general terms and conditions of a proposed purchase of the property owned by the Seller. The terms set forth in this MOU will not become binding until a more detailed "Purchase Agreement" is negotiated and signed by the parties hereto.

1. DESCRIPTION OF PROPERTY

The property proposed to be sold is located at ADDRESS and is legally described as PROPERTY_DESCRIPTION (the "Property")

2. PRICE

(a) The proposed purchase price is CURRENCY PURCHASE_PRICE.

(b) The Purchase Price shall be payable as set out below:

3. CLOSING

The closing shall occur on DATE_CLOSINGor earlier by mutual agreement (the "Closing"). Any extension to the Closing must be agreed upon in writing by the Buyer and Seller. All costs associated with the closing shall be the responsibility of both Parties bearing their own expenses.
