THIS FRANCHISE AGREEMENT is entered into on 30 April 2024

Between

(1)          PARTY_1_NAME whose registered office is at PARTY_1_ADDRESS_SINGLE_LINE (the Franchisor)

(2)            PARTY_2_NAME whose registered office is at PARTY_2_ADDRESS_SINGLE_LINE (the Franchisee)

(3)            PARTY_3_NAME of PARTY_3_ADDRESS_SINGLE_LINE (the Principal)

Whereas

(A)           The Franchisor is engaged in the business of BUSINESS which is operated in accordance with a distinctive system and plan utilising and comprising certain intellectual property, confidential information, standards, specifications, techniques, identifying schemes and materials, insignia, management methods and standard operational procedures and has expended substantial time, effort and money in the development and implementation of the same.

(B)           The Franchisee desires to obtain the benefit of the knowledge, skill and experience of the Franchisor and the right and franchise to operate the business system of the Franchisor upon the terms and subject to the conditions set out below.

(C)           The Franchisor has established substantial reputation and goodwill in the said business and the Franchisee recognises the benefit to be derived therefrom and acknowledges the necessity of conforming to the high standards and uniform specifications of the said business.

(D)           The Principal is RELATIONSHIP  of the Franchisee.

Now it is agreed as follows:

1.              Definitions

1.1           In this Agreement (including the Schedules) the following expressions shall have the following meanings unless the context otherwise requires:
