THIS OPTION AGREEMENT is entered into on 23 November 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE ("Buyer")

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE ("Seller")

Whereas

(A) COMPANY is a PRIVATE company.

(B) Seller and Buyer have agreed to enter into certain option arrangements on the terms of this agreement.

It is agreed as follows:

Interpretation

1. Definitions

1.1 In this Agreement, the following expressions shall have the following meanings:

Business Day means a day (other than a Saturday) on which banks generally are open in COUNTRY for a full range of business;

Call Option has the meaning given to it in clause 2;

Company means COMPANY, a PRIVATE company incorporated in COUNTRY;

Completion means completion of the transfer of the Option Shares in accordance with clause 5;

Controlling Interest means:

(a) the ownership or control (directly or indirectly) of more than fifty per cent. (50%) of the voting share capital of the relevant undertaking; or

(b) the ability to direct the casting of more than fifty per cent (50%) of the votes exercisable at general meetings of the relevant undertaking on all, or substantially all matters; or
