THIS LIMITED PARTNERSHIP AGREEMENT is entered into on 30 April 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE ("General Partner")

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE ("LP 1")

(3)            PARTY_3_NAME whose principal place of business is at PARTY_3_ADDRESS_SINGLE_LINE ("LP 2")

(4)            PARTY_4_NAME whose principal place of business is at PARTY_4_ADDRESS_SINGLE_LINE ("LP 3")

Whereas

(A) LP1, LP2 and LP3 (each a "Limited Partner", together the "Limited Partners”) wish to establish a partnership with the General Partner (each a “Partner”, together the “Partners”) in TERRITORY under the name of NAME (the Partnership) for the purpose of BUSINESS.

(B) The Partners wish to regulate their relationship as partners in the Partnership and the management of the Partnership in accordance with the terms of this Agreement.

 

It is agreed as follows:

1. Interpretation

Definitions

1.1 In this Agreement the following expressions have the following meanings:

Accounting Period, with respect to the Partnership, means the period from and including FIN_YEAR in any calendar year to and excluding FIN_YEAR in the following year or such other period or periods as the Partners may determine;
