THIS FINDER'S AGREEMENT is entered into on 28 April 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the Principal)

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the Agent)

Whereas

(B)   The Principal wishes to engage the Agent to provide the services, and the Agent accepts this engagement and provide services to the Principal, all on the terms and conditions hereinafter appearing.

It is agreed as follows:

1. Interpretation

Definitions

1.1 In this Agreement, and in the Recitals and Schedules hereto, the following terms shall (unless the context requires otherwise) have the following respective meanings:

(a)   "Accounts" means the audited, but if not available unaudited, financial statements of the Target consisting of a balance sheet as at the Completion Date and profit and loss statement for a period ending on the Completion Date, or if both are not available, the last available audited financial statements of the Target;

(b)   “Affiliate” in respect of a Person (“Subject Person”), means the direct or indirect subsidiary of the Subject Person, or any Person where the Subject Person holds more than 50% of the voting rights of the first Person at its general meeting or otherwise entitled to nominate more than 50% of the board of directors of the first Person;

(c)    “Business Day” means a day on which banks are open in JURISDICTION_COUNTRY for the transaction of business (excluding Saturday);
