Engagement Letter and Success Fee Agreement 

Dear PARTY_1_CONTACT,

This letter agreement (the “Agreement”) confirms our verbal agreement on the engagement of each parties and fee agreement, subject to the satisfaction of all of the terms and conditions set forth herein, that PARTY_1_NAME or a controlled affiliate thereof (hereinafter, the “Investor”) hereby agrees to compensate ACCOUNT_JOB_COMPANY (hereinafter the “Advisor”) for introducing it to potential investment as described in the scope of engagement below.

Scope of Engagement

 The Advisor will do the following for the Investor with respect to the Project PROJECT (the "Project"):

Fees

In consideration for the services rendered to the Investor by the Advisor, the Investor agrees to pay the Advisor fees consisting of the following:

• A success fee equivalent to SUCCESS_FEE% of the aggregate investment amount (and appropriate VAT where applicable) at the signing of investment contracts between the Investor and the investment introduced by the Advisor.
