Dear Sirs,

Confirmation of No Indebtedness 

We refer to the agreement (the Agreement) dated between COUNTERPARTY and ACCOUNT_JOB_COMPANY, relating to the sale and purchase of the entire issued share capital of COMPANY. Unless the context otherwise requires, terms defined in the Agreement shall have the same meanings in this Confirmation.

We hereby acknowledge and confirm on our own behalf and as agent on behalf of each other member of the Retained Group that there are no outstanding Intra-Group Indebtedness (other than Intra-Group Trading Indebtedness) owing to any member of the Retained Group from any Group Company and, to the extent that any such outstanding amount or liability exists or may exist, the Seller, for itself and as agent for each other member of the Retained Group, hereby releases each Group Company from any obligation which any such Group Company may have to pay any such outstanding amount or otherwise have in respect of any such liability and agrees to fully indemnify the Buyer and each Group Company and to hold each of them harmless in respect of the same.
