Dear Sirs and Madams,

Disclosure Letter under AGREEMENT 

We refer to the AGREEMENT (the "Agreement") of even date herewith between SELLER (the Seller) and BUYER (the Buyer) . 

This Letter, together with the schedules and annexes hereto, constitutes the Disclosure Letter referred to in the Agreement.

Unless the context otherwise requires, words and expressions defined in the Agreement shall have the same meanings where used in this Letter and, subject as aforesaid, the Interpretations / Definitions provisions of the Agreement shall apply to this Letter, mutatis mutandis, as if they were set out herein. 

A. Preliminary Matters

We wish to record the following preliminary matters in relation to this Letter:-

1. Any information contained or referred to in this Letter is to be treated as a disclosure in respect of each and every Warranty and not solely in respect of any particular Warranty. 

2. Where any conflict arises between the contents of any document supplied to the Buyer by the Seller (including, without limitation, any document referred to in this Letter) and the information contained in this Letter, the information contained in this Letter shall prevail, unless otherwise expressly stated herein.

3. The headings and numbering used in this Letter shall not affect the interpretation of this Letter.

B. General Disclosures 

1. The Buyer shall be deemed to have full knowledge of:-

(a) all correspondence, documents and other information delivered, sent, given to (or made available for inspection by) the Buyer and which are listed in the schedule hereto, and any matter referred to therein;
