1. Declare that the SHARES ordinary share of CURRENCY PAR in the capital of COMPANY (the "Share(s)") and now registered or about to be registered in my name in any relevant register is and at all times has been held by me in trust for you and that I have no, and have never had any, beneficial interest in the Share(s);

2. Undertake to transfer the Share(s) as you direct, to account to you for all dividends, interest or other distributions in respect of it, and to exercise, as you may from time to time direct, all voting and other rights and powers vested in me as registered holder of the Share(s); and

3. For the purpose of securing the performance of any obligations under this declaration of trust, irrevocably and by way of security appoint you as my attorney to transfer the Share(s) and to execute (whether under hand or as a deed) all such documents and do such other acts in respect of the Share(s) as you think fit.
