THIS SERVICE AGREEMENT is entered into on 27 April 2024

Between

(1)            PARTY_1_NAME whose principal place of business is at PARTY_1_ADDRESS_SINGLE_LINE (the Provider)

(2)            PARTY_2_NAME whose principal place of business is at PARTY_2_ADDRESS_SINGLE_LINE (the Customer)

Whereas

Customer wishes Provider to provide various services to Customer and Provider is willing to supply the same on the terms and conditions of this Agreement.

It is agreed as follows:

1. Interpretation

Definitions

1.1 The following terms shall, unless the context otherwise requires, have the following respective meanings:

Business Day means any day other than Saturday or Sunday or a Bank or Public Holiday in JURISDICTION_COUNTRY;

Commencement Date means COMMENCEMENT_DATE;

Force Majeure means in relation to either party, any circumstances beyond the reasonable control of that party (including, without limitation, any strike, lockout or other form of industrial action);

the Location means LOCATION;

Services means the services more particularly set out in Schedule 1;

Statutory provisions

1.2 References to statutory provisions shall, except where the context requires otherwise, be construed as references to those provisions as respectively amended or re-enacted or as their application is modified by other provisions (whether before or after the date hereof) from time to time.
