Photograph Licence Agreement whereby the Licensor grants the Licensee the right to use the photos for a specified purpose. This is drafted in favour of the Licensee.
A Photograph License Agreement sets out the terms upon which the Licensee obtains the license to use photographs from the Licensor. It outlines will the scope of the license, restrictions on the use of the license and payment obligations.
In this Agreement. the Licensor:
(a) warrants that the Photos do not infringe third party rights;
(b) waives its moral rights in the Photos
(c) undertakes to indemnify the Licensee for any losses suffered due to any act or commissions of the Licensor.
The Licensee can assign the rights under this Agreement to a third party; and any failure to give photo credit to the Licensor does not constitute a breach of this Agreement.
Both the Licensor's and Licensee's information should be provided in this agreement, along with their principal places of business.
The license fee should also be specified and a clear description of the photographs to be licensed by the licensee /photographer.
