Document Description

This document is a software license agreement between a licensee and a licensor. The licensor grants the licensee the right to use the software and documentation on certain terms and conditions. The licensee may use the software for personal purposes, make up to three copies of the software for back-up purposes, and use any documentation that comes with the software for support. The licensee may not copy, lease, sublicense, loan, rent, or modify the software, nor can they reverse engineer, decompile, or create derivative works based on it. The licensee cannot provide or make the software available to any third parties without prior written consent from the licensor.

The licensor holds all intellectual property rights to the software and documentation. If the licensee finds a defect in the software, they can notify the licensor in writing, and the licensor will remedy the defect. The licensor warrants that the software is free from defects in material, design, and workmanship, will perform substantially according to the documentation, and will function on the operating system for which it was designed. The warranty period is 90 days, and it does not apply if the defects or faults were the result of the licensee's modifications or use of the software for purposes that breach the agreement. The licensor disclaims any responsibility for any unforeseeable loss or damage caused by the software.

How to use this Document?

Here's how to use this licence agreement document:

1. Begin by stating the parties involved in the agreement, which are the Licensee and the company represented by [ACCOUNT_JOB_TITLE], whose principal place of business is indicated by [ACCOUNT_JOB_ADDRESS_SINGLE_LINE], and the date the agreement was made.

2. The agreement covers two main subjects, namely the software and the documentation related to the software. The scope of the agreement must be read and understood thoroughly.

3. The company retains full ownership and intellectual property rights over the software and documentation at all times.

4. The Licensee is granted a non-exclusive, non-transferable license to use the software and documentation, as long as they comply with the terms and conditions of the license. The Licensee can install the software on a single CPU if they have a single-user license or on multiple CPUs if they have a multi-user license.

5. There are certain restrictions on the use of the software and documentation, such as not copying or modifying them without permission or disclosing them to third parties without the Licensor's prior written consent.

6. The Licensor holds all intellectual property rights to the software and documentation, and the Licensee does not have any intellectual property rights other than the right to use the software and documentation. If there are any defects or faults in the software, the Licensor shall remedy them.

7. The Licensor provides a warranty that the software will be free from defects and function as intended, and the Warranty period is 90 days. The warranty does not apply if the Licensee modifies the software or breaches the terms of the agreement.

8. The Licensor disclaims liability for any loss or damage beyond what is foreseeable.

By following these steps, the Licensee can use this document to understand the terms and conditions of the license agreement for the software and documentation provided by the Licensor.
