Agreement between Company and an independent Contractor in respect of certain services to be provided by the Contractor to the Company. This is drafted in Neutral Form.

The Contractor shall provide the following services to the Company: [SERVICES] and any ancillary services incidental thereto (together, the “Services”).

The Parties may agree to additional services to be provided by the Contractor to the Company by agreement in writing.

The Contractor shall perform the Services as an independent contractor on a non-exclusive basis, and, unless stated explicitly, nothing contained herein shall be deemed to create any partnership, joint venture, or relationship of principal and agent between the Parties hereto or any of the Company’s affiliates or subsidiaries.

The Contractor agrees to participate in and report to the Company on performance review to be conducted on a regular basis as reasonably required by the Company.

The Contractor shall render the Services with reasonable care and use its reasonable endeavours to ensure that the Services provided shall be reasonably satisfactory to the Company.

 

How to use this Document?

This document should be carefully read by the contracting parties.

Both parties should sign and return a copy, and once signed, both parties should get a copy. To avoid any future disputes, both parties may wish to have their signatures witnessed.

The contractual price, the contracted service, the term of provision and other related details should all be clearly stated in the agreement.

If either party wishes to amend the agreement in the future, both parties should agree to do so, and the original agreement and amendments should be recorded in writing and signed by both parties.
