In carrying out the services, Provider shall have full power and authority to act for Customer or to assume any obligation or liability, or to negotiate or conclude any contract, in the name of or on behalf of Customer.

Provider shall provide Customer from time to time in writing with such up-to-date and accurate information in relation to the services as Customer may from time to time reasonably request.

Provider shall use all reasonable endeavours to respond promptly during Business Hours, orally or by telephone, e-mail, facsimile transmission or in writing, as appropriate, to any request from Customer for information made.

Provider shall ensure that its seconded personnel are suitably qualified with skills and experience to provide the services required of Provider under this Agreement.

Provider shall, in supplying its services under this Agreement, comply with such practices and procedures as are reasonably required by Customer and generally act in accordance with guidelines from time to time laid down by the board of directors or other authorised representatives of Customer. Where Provider is given access to Customer's Location, all applicable terms of use, standards of safety and health and any other reasonable security requirements or measures from time to time in force at such premises

Forthwith upon the termination of this Agreement, howsoever caused, Provider shall return or deliver to Customer all books, records (including machine readable records) and documents (together with all copies thereof) in the possession or control of Provider and relating to Customer's business.

Except as agreed between the parties in writing, Provider shall have no obligation to provide any services to Customer outside Business Hours.

Provider promptly notify Customer of any expected delays or problems in providing the Services and any circumstances which may prevent proper and timely delivery of the Services; and

Upon Customer's request, the Provider shall promptly provide such information and reports to Customer in connection with the progress of performing the Services.

Provider shall comply with all laws and regulations applicable to the Services, including those relating to anti-bribery, anti-corruption and data protection.
