A Service Provider providing various services in relation to Customer on a regular, continuous or long term basis. Both parties intend for the services to continue indefinitely. This agreement is drafted in favour of the Service Provider.
Customer wishes Provider to provide various services to Customer and Provider is willing to supply the same on the terms and conditions of this Agreement.
Customer will provide clear instructions to Provider, and co-operate with Provider where reasonably requested during the Service Period.
Provider shall provide Customer from time to time in writing with such up-to-date and accurate information in relation to the services as Customer may from time to time reasonably request.
Provider shall use all reasonable endeavours to respond promptly during Business Hours, orally or by telephone, e-mail, facsimile transmission or in writing, as appropriate, to any request from Customer for information made pursuant to clause 2.5.
Customer shall ensure that Provider's seconded personnel have full and free access to the Location and to any information or records kept by Customer to enable Provider to perform its duties.
Customer shall take all such steps as may be necessary to ensure the safety of any of Provider's seconded personnel who visit any premises of Customer.

Customer shall use its best endeavours to respond promptly to any requests for guidance, instruction or information reasonably required by Provider to enable it to perform its services under this Agreement.
Customer shall, subject to receipt of an invoice (which may be rendered echo $INVOICE_FREQUENCY; ?>) from Provider, pay to Provider the Service Fees set out in Schedule 2 in respect of the provision of the Services.
If Provider's services are requested for any matter not covered by the Services (such services being Additional Services), Customer shall be liable to pay Provider's standard service fees from time to time in force in respect of such Additional Services or (if no standard Service Fees are in force) such service fees as shall be fair and reasonable for the relevant Additional Services.
